Terms of Service

1. Agreement to Terms

By accessing or using Acceso (the "Site", "Platform", or "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all visitors, users, contributors, designers, studios, companies, and other persons or entities accessing or using the Service, whether or not they have created an account or paid for any Acceso service.

Acceso may provide additional services, features, or products from time to time. Such services may be subject to additional terms, which will form part of your agreement with Acceso where applicable.

2. About Acceso

Acceso is a curated digital platform for discovering and mapping independent design studios, designers, projects, products, and local design communities.

The Service includes, among other things, a searchable directory, interactive maps, curated collections, editorial content, project pages, designer and studio information, images, links to external websites, and other tools or features that Acceso may introduce from time to time.

Acceso collects, organizes, curates, indexes, and presents information and materials from a variety of sources, including publicly available sources, third-party websites, designers, studios, companies, and other contributors.

The purpose of the Service is to make design information easier to discover, explore, organize, and connect. The inclusion of a designer, studio, project, product, image, company, or other material on Acceso does not necessarily imply that Acceso owns, represents, endorses, or is affiliated with the relevant rights holder.

Acceso may operate the Service on a commercial basis and may introduce paid listings, subscriptions, advertising, partnerships, sponsored content, or other commercial services in the future.

3. Eligibility and Use of the Service

By using the Service, you represent that:

1. the information you provide to Acceso is accurate and complete;
2. you have the legal capacity to enter into these Terms;
3. you will use the Service in compliance with all applicable laws and regulations; and
4. your use of the Service will not infringe the rights of Acceso or any third party.

If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on its behalf.

4. Acceso Intellectual Property

Acceso owns, or holds the relevant rights to, the Service and the elements created by or for Acceso.

This includes, without limitation, the Acceso name, logo, trademarks, branding, software, source code, website design, user interface, functionality, layout, visual identity, original editorial material, original text, database structure, taxonomy, categorization, curation, organization, selection, compilation, and other elements developed by Acceso (collectively, the "Acceso Materials").

The Acceso Materials are protected by applicable intellectual property and other laws.

Nothing in these Terms transfers ownership of any Acceso Materials to you.

You may access and use the Service for its intended purpose. Unless expressly permitted by Acceso in writing or by applicable law, you may not copy, reproduce, republish, distribute, sell, license, modify, create derivative works from, commercially exploit, mirror, scrape, or otherwise reproduce the Acceso Materials or the Service, in whole or in substantial part.

In particular, you may not reproduce or commercially exploit Acceso's database, directory, map, collections, categorization, or other curated compilation as a competing or substantially similar service.

5. Third-Party Materials and Intellectual Property Rights

The Service contains or may contain images, photographs, project information, product information, names, descriptions, logos, trademarks, videos, links, and other materials relating to designers, design studios, companies, brands, products, projects, institutions, and other third parties (collectively, "Third-Party Materials").

Third-Party Materials may be sourced from publicly accessible websites, social media, portfolios, press materials, submissions, direct communications, or other sources.

Unless expressly stated otherwise, Acceso does not claim ownership of Third-Party Materials.

The intellectual property rights in Third-Party Materials remain with their respective owners or licensors. The inclusion of Third-Party Materials on the Service does not transfer ownership of those materials to Acceso, and does not grant users any ownership rights in those materials.

Similarly, the inclusion of a third-party name, logo, trademark, product, project, or other material on the Service does not by itself constitute an endorsement, sponsorship, partnership, or affiliation with Acceso.

Acceso's rights relate to the Service itself and to the manner in which information and materials are independently selected, curated, organized, described, categorized, indexed, and presented as part of the Service.

Where Third-Party Materials are displayed on Acceso, you remain responsible for respecting the intellectual property, trademark, privacy, publicity, and other applicable rights of the relevant rights holders.

Nothing in these Terms grants you a license to reproduce, distribute, commercially exploit, or otherwise use Third-Party Materials outside the Service.

6. Curation, Collection and Presentation of Materials

Acceso's Service depends on the collection and organization of information from multiple sources.

Acceso may select, arrange, categorize, describe, tag, map, link to, or otherwise curate Third-Party Materials as part of its Service.

The selection and organization of materials, as well as the database, structure, taxonomy, categorization, and presentation created by Acceso, constitute part of the Service and may be protected independently from the underlying Third-Party Materials.

Acceso does not represent that it has acquired ownership of every individual image, photograph, design, product, trademark, or other work displayed through the Service.

Where appropriate, Acceso may identify the designer, studio, company, source, or other relevant rights holder associated with Third-Party Materials. However, the absence of an attribution or the presence of incomplete or inaccurate attribution does not constitute a representation that Acceso claims ownership of such material.

Acceso may modify, replace, remove, reorganize, or update materials at its discretion.

7. Rights Holder Requests and Removal

If you believe that material displayed on Acceso infringes your intellectual property rights, privacy rights, or other legal rights, you may contact us at hello@acceso.design.

Please provide sufficient information for us to identify the material in question and understand the basis of your request. Where appropriate, this may include:

• your name and contact information;
• identification of the material or page concerned;
• identification of the relevant work or right;
• an explanation of the claimed infringement or issue; and
• any information reasonably necessary for us to evaluate the request.

Acceso may, at its discretion and where appropriate, remove, disable, correct, replace, or modify the relevant material while investigating a request.

Submitting a removal request does not guarantee that material will be removed immediately or permanently. Acceso may request additional information before taking action.

Acceso reserves the right to remove or modify any material where it considers this appropriate, including where required by law or by a competent authority.

8. Accuracy and Availability of Materials

The information available through the Service is provided primarily for discovery, reference, and informational purposes.

Acceso makes reasonable efforts to curate and organize information, but does not guarantee that information appearing on the Service is complete, accurate, current, reliable, or error-free.

Designers, studios, companies, products, projects, websites, addresses, awards, availability, pricing, descriptions, affiliations, and other information may change over time.

Acceso may not independently verify every fact, image, statement, or piece of information appearing on the Service.

You should independently verify information with the relevant designer, studio, company, rights holder, or external source before relying on it for commercial, professional, legal, financial, purchasing, or other consequential purposes.

Acceso may modify, suspend, discontinue, or restrict any part of the Service or any material available through it at any time, without guaranteeing continued availability.

9. External Websites and Links

The Service may contain links to websites, portfolios, social media profiles, stores, publications, and other third-party websites.

Acceso does not control and is not responsible for the content, availability, security, privacy practices, products, services, or policies of such external websites.

The inclusion of a link does not constitute an endorsement, approval, sponsorship, or affiliation with the linked website or its operator.

You access external websites at your own risk and should review their applicable terms and privacy policies.

10. User Accounts and Submissions

Certain features of the Service may require you to create an account or submit information.

You agree to provide accurate and current information and to keep your account credentials secure.

You are responsible for activity carried out through your account and must not share access to your account where such sharing is prohibited by the applicable service.

Where Acceso permits users, designers, studios, or other parties to submit content, you represent that you have the necessary rights and authority to submit that content.

You retain ownership of content that you lawfully own and submit to Acceso. However, by submitting content to Acceso, you grant Acceso a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, adapt, modify, and otherwise use that content as reasonably necessary to operate, promote, improve, and provide the Service.

This license may include displaying submitted content on Acceso's website, map, directory, social media, newsletters, marketing materials, or other Acceso-controlled channels.

You remain responsible for ensuring that submitted content does not infringe the rights of another person or entity.

If you submit content on behalf of a designer, studio, company, or other entity, you represent that you have authority to do so.

11. Prohibited Activities

You may use the Service only for its intended purposes and in accordance with these Terms.

You must not:

1. copy, reproduce, redistribute, republish, sell, license, or commercially exploit substantial portions of the Service or its content without permission;
2. scrape, crawl, harvest, bulk-download, mirror, archive, or systematically collect data or content from the Service using automated means;
3. use bots, spiders, crawlers, scripts, or other automated systems to access or collect information from the Service, except where expressly authorized by Acceso or permitted by applicable law;
4. reproduce or recreate Acceso's database, directory, map, taxonomy, categorization, or other curated compilation;
5. use information obtained from the Service to create a competing or substantially similar database, directory, map, discovery platform, or service;
6. circumvent authentication, rate limits, security measures, or other technical restrictions implemented by Acceso;
7. interfere with the operation, security, or availability of the Service;
8. introduce malware, viruses, harmful code, or other technologies intended to damage or interfere with the Service;
9. use the Service to infringe the intellectual property, privacy, publicity, or other rights of any person or entity;
10. remove copyright, trademark, attribution, or other proprietary notices from Acceso Materials;
11. use the Service for unlawful, fraudulent, abusive, defamatory, or otherwise prohibited purposes; or
12. attempt to gain unauthorized access to any account, system, database, or infrastructure connected to the Service.

Acceso may suspend or terminate access where it reasonably believes that these Terms have been violated.

12. Commercial Use of the Service

Acceso may offer paid features, listings, subscriptions, promotional services, partnerships, sponsorships, or other commercial offerings.

Unless expressly stated otherwise, paying for an Acceso service does not transfer ownership of the Acceso Platform, its database, its software, or any Third-Party Materials to the purchaser.

Any paid service may be subject to additional terms, pricing, conditions, or cancellation and refund policies communicated at the time of purchase.

Acceso reserves the right to change, introduce, or discontinue commercial offerings and pricing, subject to applicable law and any specific contractual obligations applicable to an existing purchase.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service and all materials available through it are provided on an "AS IS" and "AS AVAILABLE" basis.

Acceso does not warrant that:

• the Service will always be available or uninterrupted;
• the Service will be free from errors, bugs, or security vulnerabilities;
• information on the Service will always be accurate, complete, or current;
• Third-Party Materials are free from claims by third parties;
• external websites or linked services will remain available; or
• the Service will meet your particular requirements or expectations.

To the maximum extent permitted by law, Acceso disclaims all warranties and conditions, express or implied, relating to the Service, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited under applicable law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Acceso and its owners, directors, employees, contractors, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss or damage arising out of or relating to your use of, or inability to use, the Service.

This includes, without limitation, loss of profits, revenue, business, goodwill, reputation, opportunities, data, or anticipated savings.

Acceso shall not be responsible for disputes between you and third-party rights holders concerning Third-Party Materials accessed through the Service.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Acceso and its owners, directors, employees, contractors, agents, and service providers from claims, damages, losses, liabilities, costs, and reasonable expenses arising out of:

1. your violation of these Terms;
2. your unlawful or unauthorized use of the Service;
3. your infringement of the rights of another person or entity; or
4. content or materials that you submit to Acceso where you did not have the necessary rights or authorization to submit them.

This provision does not require you to indemnify Acceso for losses caused by Acceso's own unlawful conduct where such indemnification cannot legally be required.

16. Changes to the Service

Acceso may, at its discretion, modify, adapt, suspend, discontinue, or replace any part of the Service, including its features, interface, database, content, categories, maps, and availability.

Acceso may also remove or modify individual listings, projects, images, descriptions, links, or other materials.

You acknowledge that the Service is continuously evolving and that particular features or materials may change or become unavailable.

17. Changes to These Terms

Acceso may update these Terms from time to time.

When we make changes, we will update the "Last updated" date at the beginning of these Terms. Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree with the revised Terms, you must stop using the Service.

18. Suspension and Termination

Acceso may suspend or terminate your access to the Service where:

• you materially or repeatedly breach these Terms;
• your use creates a risk of harm to Acceso, another user, a rights holder, or the public;
• suspension or termination is required by applicable law or a competent authority;
• your account is being used fraudulently or unlawfully; or
• Acceso reasonably determines that continued access is no longer commercially or technically viable.

You may stop using the Service at any time.

Termination or suspension does not affect provisions of these Terms that, by their nature, are intended to survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

19. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall continue in full force and effect.

20. No Waiver

If Acceso does not immediately enforce any provision of these Terms, this does not constitute a waiver of Acceso's right to enforce that provision or any other provision in the future.

21. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Italy, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Service shall be subject to the jurisdiction of the competent courts of Italy, subject to any mandatory rights or jurisdictional protections applicable to consumers under applicable law.
